I. Services
By participating in “LUMIX Creators’ Backstage”, Panasonic may provide Creator for free of charge, the exclusive information regarding Panasonic LUMIX Series cameras and relevant accessories (hereinafter referred as to “LUMIX Products”) in various formats such as posts, live videos and online meetings, and Creator agrees that the Panasonic can show Creator information, including advertising, regarding LUMIX cameras and relevant accessories that Panasonic think would be relevant to Creator and Creator’s interests (hereinafter referred “Service(s)”).
II. Confidentiality Duty
1. For purposes of this terms and conditions, "Confidential Information" shall mean any and all non-public information, including, without limitation, information regarding LUMIX Products and samples of LUMIX Products provided before launch for their sales, disclosed by Panasonic, and/or Panasonic’s affiliates to Creator via any kind of media, including without limitation, electronic mails, websites, and posts, live videos, and comments on any social media accounts. At disclosure, Panasonic, and/or Panasonic’s affiliates may, but is not required to, mark written Confidential Information with the legend "Confidential" or an equivalent designation.
2. Panasonic, and/or Panasonic’s affiliates may, but is not required to, disclose the Confidential Information to Creator at its sole discretion. Creator shall not disclose the Confidential Information to any third party, and shall use all Confidential Information disclosed to Creator only for: (i) the discussion with Panasonic, and with other Members in this “LUMIX Creators’ Backstage”; and for (ii) the preparation of the Creator’s social networks’ contents, which is to be done by the Creator’s sole discretion (“Purpose”) and for no other purpose whatsoever. Creator agree to keep the Confidential Information confidential and to protect the confidentiality of such Confidential Information with the same degree of care with which Crator protects the confidentiality of its own confidential information, but in no event with less than a reasonable degree of care. Creator shall not duplicate, copy, or record any of the Confidential Information except as needed for the Purpose. For the avoidance of doubt, Creator shall not disclose any Confidential Information and the contents which Creator produce by using Confidential Information via any kind of media, until such information becomes generally known or available to public at large other than a breach of the part by Creator him/herself, e.g. after the launch for sales by Panasonic.
3. All right, title, and interest in and to the Confidential Information shall remain with Panasonic or its licensors. Nothing in this Agreement is intended to grant any rights to Creator under any patents, copyrights, trademarks, or trade secrets of Panasonic or its licensor. ALL CONFIDENTIAL INFORMATION IS PROVIDED "AS IS". PANASONIC MAKE NO WARRANTIES, EXPRESS, IMPLIED OR OTHERWISE, REGARDING NON-INFRINGEMENT OF THIRD PARTY RIGHTS OR ITS ACCURACY, COMPLETENESS OR PERFORMANCE.
4. The obligations and limitations set forth herein regarding Confidential Information shall not apply to information which is: (a) generally known or available to public at large, other than by a breach on the part by Creator himself or herself; or (b) at any time rightfully received from a third party which had the right to and transmits it to Creator without any obligation of confidentiality.
5. In the event Panasonic finds or reasonably believes that Creator breach the confidentiality duty, Creator agree that Creator’s LUMIX Creators’ Backstage’s membership may be cancelled by Panasonic. Creator also agree that due to Creator’s breach of the confidentiality duty (i) Panasonic is entitled to all legal and equitable remedies afforded by law; and (ii) Panasonic may recover all reasonable costs and attorneys' fees incurred in seeking such remedies. If the Confidential Information is sought by any third party, including by way of a subpoena or other court processes, Creator shall inform Panasonic of the request in sufficient time to permit Panasonic to object to and, if necessary, seek court intervention to prevent the disclosure.
III Feedback
While Creator is a member of LUMIX Creators’ Backstage, if Creator provide questions, suggestions, opinions or any other feedback to Panasonic regarding to Panasonic’ products or services, Panasonic and its licensee may use or implement it to such products or services, without any limitation, compensation or payment to Creator.
IV Personal Information
Panasonic will use Creator’s personal information in accordance under the following conditions:

(In the event Creator join “LUMIX Creators’ Backstage”, Panasonic may obtain Creator’s information such as one’s hobby, interest, family and work, although such information may not be strictly personal).
In connection with the above, Panasonic may, with prior consent, obtain other information – besides the aforementioned personal information – in the process of operating “LUMIX Creators’ Backstage”.
Purpose of Use of Personal Information
・Managing LUMIX Creators’ Backstage
・Contacting Creator
・Contacting Creator for the purpose of event planning for LUMIX Creators’ Backstage
・Delivering sample product etc. of Panasonic Corporation
・Planning of product and service development
Prior notice shall be given to Creator in the event Panasonic use Creator’s personal information other than the aforementioned purpose of use.
Third Party Transfer
Any Creator’s personal information obtained by Panasonic in connection with the aforementioned “Purpose of Use of Personal Information” under the “Personal Information Panasonic will Ask to Creators” may be shared among Panasonic’s Affiliates.
“Affiliate” means company or other legal entity which: (a) is controlled by Panasonic Holdings Corporation; or (b) is under common control with Panasonic Holdings Corporation.
For the purpose of this definition, “control” means that more than fifty percent (50%) of the shares or ownership interest representing the voting right for the election of directors or persons performing similar functions for such a corporation, company or entity are owned or controlled, directly or indirectly, by the controlling entity.
Personal Information Retention Period
Panasonic will retain Creators’ personal information until the end of the operation of "LUMIX Creators' Backstage" or December 31st, 2029, whichever comes first. Panasonic will stop using and terminate Creator’s personal information at the completion deadline.
Correction and Suspension Request
In the event Creator wish to request correction or suspension/termination of personal information provided to Panasonic or to third party that is defined in Third Party Transfer section, please contact the below reception desk. If Creator request Panasonic to prohibit using Creator personal information and prohibit providing it to Panasonic, please agree in advance that Creator will lose the eligibility to participate in “LUMIX Creators’ Backstage”.

IV Term and Termination
1.The term of this Terms shall begin when the Creator agrees with this Terms and end when the Creator’s membership of "LUMIX Creators' Backstage" is terminated or expire.
2.Panasonic reserves the right to terminate the Services and the Terms without prior notice to the Creator.
3.In the event that Creator breach any part of this Terms, Panasonic may terminate this Terms and the Creator’s membership of “LUMIX Creators’ Backstage” immediately.
4.Notwithstanding the foregoing the confidential duty of the Creator due to Section II, the provision in Section III, IV, V, VI, and VII shall survive the expiration and the termination of this Terms.
V Governing Law
This Terms shall be governed by and construed in accordance with the laws of Japan.
VI Jurisdiction
The Tokyo District Court shall be the court of first instance with respect to any lawsuits under this Terms in connection with the Event. In some countries the courts will not permit the Japanese courts to hear a claim arising out of these Terms. If Participant live in such a country, the courts of the country in which Participant live shall be able to hear any claim arising out of to this Terms.
VII Severability
In the event that any of the provisions of this Terms proves to be invalid or illegal, that will not in any way affect, impair or invalidate any other provision, and all other provisions of this Terms will be full force and effect.
