TERMS AND CONDITIONS OF USE

By accessing and/or using the web pages at URL: https://www.panasonic.com.ph and https://www.panasonic.com/ph (the "Web Site"), you accept and agree to abide by the following Terms and Conditions of Use, which together with any other terms or legal notices posted on the Web Site such as our Privacy Statement, govern the relationship between you as user and Panasonic Asia Pacific Pte., Ltd, its parent company, subsidiaries and affiliates (“Panasonic”, “we”, “us”) in relation to this Web Site.

A. Website Terms and Conditions of Use

1. LAWS AND REGULATIONS

1.1 Your access and use of the Web Site shall be governed by and construed in accordance with the laws of the Republic of Philippines without reference to its conflicts of law rules and, you agree to submit to the exclusive jurisdiction of the Courts of the Republic of Philippines.

2. COPYRIGHT, TRADEMARKS AND INTELLECTUAL PROPERTY RIGHTS

2.1 The trademarks, logos and service marks (collectively, "Marks") as well as content (including but not limited to information, communications, software, images, videos and sounds) (collectively, “Contents”) contained on or available on the Web Site belong to Panasonic, its content providers and third party licensors. You should assume that all Marks and Contents on the Web Site are protected by copyright and applicable intellectual property rights unless otherwise noted.

2.2 You must not reproduce, modify, transfer, distribute, republish, download, post or transmit the Marks and Contents in any form or by any means including but not limited to electronic, mechanical photocopying or recording without our prior written permission. You agree that the Marks and Contents contained within or available through the Web Site shall not be used for commercial purposes or distributed commercially. Any unauthorized use of the Marks or Contents may violate copyright laws, trademark laws, the laws of privacy and publicity, and civil and criminal statutes. All our rights are expressly reserved.

3. USER CONDUCT

3.1 You are prohibited from posting or transmitting any unlawful, seditious, threatening, defamatory, libelous, obscene, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offence or give rise to civil liability, or otherwise violate any law. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting such materials.

4. HYPERLINKING

4.1 The Web Site may provide links to other web sites hosted by third parties ("Linked Sites”). We do not have the obligation to monitor the content on the Linked Sites and have no discretion to alter, update or control the content on the Linked Sites. Our provision of hyperlink to Linked Sites shall not be construed as an endorsement, authorization, sponsorship, or affiliation with respect to such web sites, their owners, or their providers.

4.2 The Linked Sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions which differ from the provisions provided here and our Privacy Statement. If you link to otherwise visit any of these Linked Sites, please review their respective terms of use, privacy statements, notices and policies.

5. NO WARRANTIES

5.1 All Contents on the Web Site are provided to you “as is” and “as available” without warranty of any kind either express or implied including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, security or accuracy. We specifically disclaim any liability or responsibility for any errors or omissions in the Contents. Neither Panasonic nor any other party involved in creating, producing, or delivering the Web Site is liable for any direct, incidental, consequential, indirect, or punitive damages or losses arising out of your access to, or use of, or inability to use or access, the Web Site.

5.2 Any Content downloaded, uploaded or otherwise obtained through the use of the Web Site is done at your own discretion and risk. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the Web Site or on the Internet generally.

6. LIMITATION OF LIABILITY

6.1 The Content on the Web Site or a Linked Site may include inaccuracies or typographical errors, and we specifically disclaim any liability for such inaccuracies or errors. We do not warrant or represent that the Content on the Web Site is complete or up-to-date and have no obligation to update any Content on the Web Site. We may make improvements or changes to the Web Site and Content at any time without notice. You agree that Panasonic and any of its respective officers, directors, employees, or agents will not be liable, whether in contract, tort, strict liability or otherwise, for any indirect, punitive, special, consequential, incidental or indirect damages (including without limitation loss of profits, cost of procuring substitute service or lost opportunity) arising out of or in connection with the use of the Web Site or a Linked Site, or with the delay or inability to use the Web Site or a Linked Site, even if we are made aware of the possibility of such damages. This limitation on liability includes, but is not limited to, the transmission of any viruses which may infect your equipment, failure of mechanical or electronic equipment or communication lines, telephone or other interconnect problems such as inability to access your internet service provider, unauthorized access, theft, operator errors, strikes or other labour problems or any force majeure. While we have taken reasonable commercial endeavours to ensure security and maintenance of the Web Site, we cannot and do not guarantee continuous, uninterrupted or secure access to the Web Site.

7. TRANSMISSION OF PERSONAL DATA

7.1 You have read our Privacy Statement which sets out the terms that specifically govern the collection, use, retention and disclosure of your personal data. Accordingly, you have agreed to the terms of our Privacy Statement and given your consent to the collection and transfer of your personal data according to the terms of our Privacy Statement.

8. CONFIDENTIALITY OF USER COMMUNICATION

8.1 Except as required by law and in accordance to our Privacy Statement, any communications or materials that you send to the Web Site by electronic mail, postings or otherwise, including any data, questions, comments, suggestions or the like are and will be treated as non-confidential and non-proprietary. We reserve the right to freely use these transmissions and postings by you for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast, and posting, without any compensation to you. We shall assume no responsibility and shall not be liable for any unauthorized or unlawful interception or modification of any communication between you and us (whether by electronic mail or otherwise), or for any loss or damage arising thereby (including but not limited to any loss or damage arising out of the unauthorized or fraudulent use of any information contained in or made accessible via such communication).

9. GENERAL

9.1 If any of these Terms and Conditions of Use is determined to be legally invalid or unenforceable, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms and Conditions of Use shall continue in effect.

9.2 Our failure to insist upon or enforce strict performance of any provision of these Terms and Conditions of Use shall not be construed as a waiver of any provision or right.

10. YouTube

YouTube API Services are used to play videos on our Websites. By using those API Clients, users are agreeing to be bound by the YouTube Terms of Service. Further information on the services and features of the service can be found in YouTube Terms of Service and on usage of your information in Google Privacy Policy.

B. Panasonic Membership Terms and Conditions

These Panasonic Membership Terms and Conditions of Use (“Membership Terms”) applies to your Account and Membership and are supplemental to the Website Terms and Conditions of Use. In the event of any inconsistencies, the Website Terms and Conditions of Use will prevail.

1. ACCOUNT CREATION AND ACCEPTANCE OF MEMBERSHIP TERMS

1.1 By creating an Account, you confirm that you accept these Membership Terms and you will:

(a) provide truthful and accurate information when registering for an Account, as Panasonic is not responsible for any incorrect or inaccurate information that you provide;

(b) update your Account if any of your information changes;

(d) not use another user’s account, whether with or without his/her permission;

(e) contact us immediately if you suspect anyone else is using your Account; and

(f) accept responsibility for all activities that occur under your Account.

1.2 Your Account will be created after our successful verification by email.

2. MEMBERSHIP

2.1 You must have an Account to sign up for the Membership. We may at any time and for any business reason suspend or delete any of your accounts in the event you have multiple accounts under a single email address.

2.2 The Account and Membership are open to residents of the Philippines who are at least 18 years old. Persons under the age of 18 years ("Minor") are not allowed to sign up for the Membership unless their parent or legal guardian has reviewed and agreed to these Membership Terms. If you are a parent or legal guardian permitting a Minor to sign up for the Membership, you agree to: (a) supervise the Minor's use of the Membership; (b) assume all risks associated with the Minor's use of the Membership, (c) assume any liability resulting from the Minor's use of the Membership; (d) ensure the accuracy and truthfulness of all information submitted by the Minor or, if required by applicable laws, submit all required information truthfully and accurately on behalf by the Minor; and (e) assume responsibility and are bound by these Membership Terms and Conditions for the Minor's access and use of the Membership.

3. PROMOTIONS

3.1 Panasonic may, from time to time, offer promotional benefits and incentives to customers who maintain an Account and Membership based on seasonal offers and campaigns (“Promotional Offer”).

3.2 Each Promotional Offer will be subject to its own terms and conditions.

4. POINTS REWARDS SYSTEM

4.1 The Panasonic Points Rewards System is a program that allows purchasers who hold a Membership to collect points (“Points”) on eligible purchases from the Website, and use the Points to offset the order amount from their next purchase on the Website (“Program”). Points used to offset future purchases will be deducted from the earliest date of accrual to later dates thereafter.

4.2 You must hold an Account and Membership to participate in the Program, and must be logged into your Account when making the purchase on the Website in order to collect Points.

4.3 Points will not be issued for cancelled orders and will be forfeited for returned orders. Collected Points will be tracked in your Account and may take up to 14 working days after the valid return period for your purchase to be reflected in your Account. However, you are responsible for ensuring that your Points are properly credited. Any claim for Points not credited accurately must be received by Panasonic within 30 days of the date of claimed accrual of such Points. Panasonic may request additional documents such as official receipts, photograph of products, etc. to verify validity of purchases.

4.4 Points are valid for 24 months from date of issue. For example, Points awarded on 20 June 2023 will expire on 20 June 2025, 23:59 Philippine Time). All unused Points shall be forfeited upon expiry.

4.5 Points do not constitute property, do not entitle you to a vested right or interest and have no cash value. As such, Points are not redeemable for cash, transferable, assignable or resalable for any reason. Panasonic reserves the right to invalidate Points from an Account if it determines that such Points were improperly credited or obtained fraudulently.

4.6 Panasonic reserves the right to amend, revise and/or review the mechanics of the Program, or suspend or terminate the Program at any time, with or without notice to you. Termination, modification or suspension of the Program may affect your ability to redeem Points.

4.7 Panasonic assumes no liability for any printing, production, typographical, mechanical or other errors in the Points summaries in your Account, and is not responsible for any error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Program materials or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of Program information due to technical problems or traffic congestion on the internet, at any website or any combination thereof. In the event that the Website is temporarily unavailable, notice of such will be provided and you will be advised to not redeem Points until such time that the Website resumes.

5. SUSPENSION / TERMINATION

5.1 You may terminate these Membership Terms at any time by deleting your Account or withdrawing from the Membership here

5.2 Your Account or Membership may be suspended or terminated at any time, if:

(a) we reasonably suspect that you have violated these Membership Terms or any other instructions on our Website, participated in any misrepresentation, fraudulent or illegal activity, or your conduct is detrimental to Panasonic;

(b) we decide to end the Membership program or all or part of our services (either worldwide or in the country where you are a resident or from where you are using our services); or

The termination of your Account or Membership pursuant to Section 5.2(a) shall be without prejudice to any rights or remedies available to Panasonic in law or equity.

5.3 The termination of these Membership Terms shall have no prejudice to any rights, obligations and liabilities that you or we have accrued or incurred during the term of these Membership Terms. Notwithstanding the foregoing, termination of your Membership may result in forfeiture of all your accrued Points to date, as determined by Panasonic.

6. GENERAL

6.1 The Account, Membership and Program are provided to individual persons only. Dealers and resellers are not eligible for Membership or Points.

6.2 You are responsible for all costs, expenses or taxes arising from your Membership.

6.3 All questions or disputes regarding eligibility for the Account and Membership or your compliance with these Membership Terms will be resolved by Panasonic at its discretion.

C. Terms and Conditions of Sale

These Terms and Conditions of Sale (“Sale Terms”) apply to your purchase of Panasonic’s goods and services on the Website and are supplemental to the Website Terms and Conditions of Use. In the event of any inconsistencies, the Website Terms and Conditions of Use will prevail. These Sale Terms do not apply to the sale of our goods and services by other sales channels or third parties to you. If you do not agree to the Sale Terms or are a Minor, please do not purchase any of our goods and services on this Website.

1. PURCHASE OF GOODS AND SERVICES ON THE WEBSITE

1.1 This Website is intended only for sale of goods and services from Panasonic for delivery in the Philippines. This Website does not accept orders for delivery outside the Philippines.

1.2 You must log into your Account to place an order. Please ensure the accuracy of your order before checkout and payment, including the goods and/or services ordered and delivery information.

1.3 Your order is an offer by you to buy our goods and/or services on these Sale Terms. When you place an order, a unique Customer Order ID will be automatically generated and provided to you to facilitate tracking of your order. The provision of the Customer Order ID does not operate as an acceptance of your order and only serves as confirmation that your order has been received by Panasonic.

1.4 Panasonic accepts your offer and forms the contract of sale when we send you an email confirmation of your order (“Order”). Panasonic may limit quantities of the goods and services purchased in any Order, and may refuse to accept your order or cancel your Order at any time if:

(a) the goods or services are not available;

(b) we cannot obtain confirmation or authorization for your payment;

(d) if there has been a stock, pricing, or product description error, upon which Panasonic will notify you as soon as reasonably practicable. Panasonic does not warrant to sell the goods or services at the listed price in the event of any error or omission in the price listing; or

(e) you breach Section 1.5 of the Sale Terms.

All Orders are accepted on these Sale Terms, which supersede any other terms appearing in this Website or elsewhere, and shall override any other terms you refer to or in any course of dealing.

1.5 By placing an order for our goods and/or services on the Website, you agree that:

(a) you are not a Minor and are legally capable of entering into binding contracts;

(b) you are purchasing the goods and/or services for your own use only and not for re-sale purposes;

(d) you will be liable and fully indemnify us against any action, claim, proceeding or demand arising out of your breach of these Sale Terms.

1.6 Any images or photographs of our goods and services on the Website are for illustration only and actual goods available for purchase may differ. Any packaging that we use to provide our goods to you may vary from any packaging indicated on the Website (where applicable).

1.7 Panasonic may update or discontinue any of the goods and services on the Website, and/or revise prices for the goods and services. You agree that changes between the delivered goods and the goods described in marketing materials (advertisements, catalogues, specification sheets etc.) may occur.

1.8 The goods and services shall conform to agreed specifications and are subject to the terms of warranty found at <Product Warranty Terms and Conditions.pdf. The goods and services are provided “as is”, and all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law. This warranty is exclusive and no other warranty, whether written or oral, is expressed or implied. Panasonic specifically disclaims the implied warranties of merchantability and fitness for a particular purpose.

2. DELIVERY

2.1 Our authorized delivery and logistics partners will deliver your ordered goods to you. Your delivery address for the Order must be in the Philippines, with the exclusion of areas that are remote or restricted zones, or places that require security pass or clearance. Without prejudice to the foregoing, the decision on suitability of delivery locations is at our discretion.

2.2 The date of dispatch listed on the Order is the estimated date of dispatch. You will be notified if we are unable to meet our estimated delivery time or date. Panasonic shall not be liable for any delivery failures or delays by our authorized delivery and logistics partners.

2.3 In the event any of the goods ordered is out of stock, this may mean the whole order is delayed. If so, an estimate of the delay will be given by e-mail. Panasonic may delay delivery until stock is available or replace the order with equivalent if product ordered is no longer available.

2.4 The goods are deemed to be delivered when delivered to the address stated in the Order.

2.5 We or our authorized delivery and logistics partners will contact you in the event of bounced parcels. A maximum of two (2) attempts will be made for delivery and an SMS will be sent to you to schedule a redelivery for the second attempt, where you have not been available to accept the first delivery. Without prejudice to any other right or remedy available to us, we may charge you for storage costs and any further delivery costs, or terminate your Order if you fail to take delivery after two (2) attempts.

2.6 Delivery of the goods does not include installation or disposal of existing equipment or products at the delivery location, unless expressly otherwise specified.

2.7 Notwithstanding Section 2.6 of the Sale Terms, delivery of washing machines and refrigerators includes standard installation and disposal of your existing washing machine or refrigerator. Additional charges apply if your delivery location does not have a lift landing and require climbing of stairs. These additional charges are quoted and payable directly to our authorized delivery and logistics partners. If our authorized delivery and logistics partners assess that additional materials are required for installation of your washing machine or refrigerator, the cost of the additional materials will be quoted by and payable directly to our authorized delivery and logistics partners.

3. PRICE AND PAYMENT

3.1 The prices of the goods and services quoted on our Website are in Philippine Peso, and includes Value Added Tax (VAT) at the prevailing rate. Unless otherwise specified, these prices do not include delivery, shipping and handling charges. These costs will be calculated separately as applicable and specified in the Order.

3.2 Prices and delivery charges are subject to change at any time. Changes will not affect Orders, save in the situations under Section 1.4(d) of the Sale Terms.

3.3 Payment for Panasonic’s goods and services from the Website is processed by third party secured payment gateway facilities. Such payments will be subject to any terms and conditions of these payment providers. Panasonic does not retain or process any of your payment information. Panasonic cannot guarantee the security of such third party payment system(s) or any payment data on the Website.

3.4 Panasonic will not be obliged to supply the goods to you nor perform the services until we have received confirmation that payment has been authorized by your card issuer.

4. RISK AND TITLE

4.1 Risk of loss and damage of the goods shall pass to you upon delivery at the delivery location stated in the Order, subject to Section 6 of the Sale Terms where delivered goods are returned or Orders are refunded.

4.2 Title to the purchased goods will only pass to you when we receive full payment for these goods, including delivery charges (if applicable). Notwithstanding the foregoing, software contained in the goods and services shall remain with the applicable licensor and the terms of use for such software shall be as provided with such goods and services.

4.3 In the event of (a) duplicate delivery or (b) payment transaction failure and the goods have been delivered to you, you shall make payment or return the goods (in their original unopened packaging) immediately. Otherwise, the warranty for these goods will not be applicable and Panasonic may take any further action as permitted by applicable laws.

5. AFTER-SALES SUPPORT

5.1 Panasonic offers after-sales support for the goods and services at its Customer Care Centre, customer service email at pmpc_csdcic@ph.panasonic.com or call the Customer Support Hotline at (02) 8706-7603. You can also contact through PLDT Toll-Free at 1800-10-7262782 or Globe Toll-Free at 1-800-82-934357. Support is available Monday to Saturday, from 8:00 AM to 6:00 PM.

5.2 Panasonic will not provide support for problems relating to any software or hardware products licensed or manufactured by any party other than Panasonic. If such support is required, please contact the respective supplier or licensor of each such software or hardware product.

6. RETURNS OR REFUNDS

6.1 Orders for goods may be returned to Panasonic if the delivered goods are:

(a) incorrect (i.e. there are missing items or parts in the delivered goods, or the model or color is different from the Order), upon which the return request must be initiated within seven (7) days from the delivery date. In the event that the model or color is different from the Order, this can be inspected from the label or packaging of the goods, and the goods must be returned with its original seal intact. Otherwise, Panasonic may not accept returns of goods with a broken seal on its packaging;

(b) damaged (i.e. stained, dented, cracked or scratched), upon which the return request must be initiated within 24 hours from the delivery date; or

(c) defective with respect to the goods’ function, upon which the return request must be initiated within seven (7) days from the delivery date.

6.2 Returns or refunds of delivered goods and services are subject to Section 6.1 of the Sale Terms or applicable warranty terms.

6.3 All requests for return of delivered goods or refund must meet the requirements in Section 6.1 of the Sale Terms and be submitted to the Customer Support Email or Customer Support Hotline, together with proof of your purchase (such as Order or invoice number, or delivery order receipt).

6.4 The following types of goods cannot be returned or refunded:

(a) Goods that are damaged by misuse;

(b) Goods that are damaged or rendered defective due to the use of the item in a way that is contrary to Panasonic’s instructions or operation manual;

(d) You change mind regarding to your purchase and the delivered goods do not fall within the scenarios in Section 6.1; or

(e) Washing machines, refrigerators and air-conditioners that are already installed and we have assessed them to be in good working condition.

All replacements and refunds are subject to Panasonic’s full discretion.

6.5 In the event that Panasonic agrees to replace the goods or provide a refund, the goods must be sent back to us by our authorized delivery and logistics partners attaching the return shipping label sent by Panasonic via email to you. There will be no charge for returning the goods during the applicable return period.

6.6 Refunds will be credited back to the credit or debit used for the transaction for the value of your refund, excluding the value of any vouchers used for your purchase, delivery charges, and any discounts or promotional codes that were applied to your purchase.

6.7 Replacement of goods are subject to stock availability, as well as any other terms and conditions that may apply to your purchase of those goods and services. All returned goods must be in brand new condition and in its original packaging, together with all accessories, including warranty cards, certificate of authenticity and manuals. Packaging of the returned goods must be unmarked and not defaced. Returned goods must be returned in the original delivery box (or with suitable packaging) to protect the goods from damage during return delivery. Following these steps will help to ensure that the goods arrive at the correct destination and in good condition within a timely fashion. Please note that failure to follow this procedure may result in the returned goods being rejected upon receipt and you may forfeit your right to an exchange or refund. Panasonic may reject any goods that are not returned in accordance with the foregoing provisions.

6.8 Panasonic may at its discretion allow you to exchange the goods for other product(s) of an aggregate value that is equivalent to or lower than the value of your product. You will not receive a refund for any difference in value of price between your original purchase and the replacement item(s).

6.9 Any goods that Panasonic has allowed you to replace or exchange will not be eligible for further replacement, exchange or refunds unless the replaced or exchanged goods are damaged/defective or the incorrect goods had been delivered to you.

6.10 For any refund of discounted promotional bundles, all goods in the bundle must be returned together in its original packaging to receive refund of the full payment. If any item belonging to the bundle is missing from the returned package, you will be refunded the price paid for the bundle minus the full value of the discounted price of the package items according to the retail price on the Website at the time of your purchase.

6.11 Panasonic has full discretion regarding the return of any goods or requests for refunds and subject to Section 6.5 of these Sales Terms, you agree to bear the delivery costs for any returns.

7. GENERAL

7.1 You shall comply with all applicable Philippine laws, rules and regulations applicable to the export of Panasonic’s goods and services, and shall not export or re-export such goods and services without any applicable approval or license required under such laws, rules and regulations.

7.2 Panasonic shall not be liable due to any failure or delay in performance of its obligations to the extent that the failure or delay arises as a result of causes beyond Panasonic’s reasonable control including (but not limited to) any acts of God, fire, casualty, flood, war, strike, lockout, failure of public utilities, injunction, non-availability of valid visas and employment passes due to governmental restrictions or any act, exercise, assertion or requirement of governmental authority, epidemic, destruction of production facilities, riots, insurrection, terrorist activity, inability to procure or use materials, labor, equipment, transportation or energy, or any other cause beyond Panasonic’s reasonable control.
