Terms and Conditions of Shopping Services on PANASONIC UAE WEBSTORE

1. Panasonic UAE Webstore (the “Platform”)

These Terms and Conditions of Shopping Services on Panasonic UAE Webstore (“Shopping Service Terms”) set out the terms and conditions under which you, as a customer, are provided a platform for online shopping services, for you to browse and purchase Panasonic branded products and/or services through website at URL: www.panasonic.com/ae (“Platform”). The Platform is owned and operated by Panasonic Marketing Middle East & Africa FZE (“PMMAF”), located at Plot S21501, P.O. Box 17985, Jebel Ali, Dubai, UAE. You acknowledge and understand that PMMAF provides the Platform for you to browse the Panasonic branded products and services on the Platform and to facilitate your purchase of the same from Al Futtaim Panatech LLC, the authorized distributor of PMMAF in the United Arab Emirates (referred as “Al Futtaim Panatech”), who will be the seller and the service provider to you. Our online shopping services on the Platform are limited to facilitate your purchase with Al Futtaim Panatech, and you will therefore enter into a contract for the sale and purchase of the products/services with Al Futtaim Panatech by placing orders through the Platform so that Al Futtaim Panatech can accept and fulfil. This Shopping Service Terms are supplemental to the “Website Terms and Conditions of Use” (at URL: Terms of Use - Panasonic) and in the event of any inconsistencies, the Shopping Service Terms will prevail. If you do not agree to the Shopping Service Terms, or GTC (hereinafter defined), please do not purchase any of our products and services on the Platform. We advise you to periodically review the Shopping Service Terms and GTC, which you will agree, prior to purchasing any product available on the Platform, as the terms and conditions may from time to time amended and updated without prior notice to you.

2. Usage of the Platform

2.1 You must be at the age of 18 and above, having full legal capacity and legally residing within the United Arab Emirates, purchasing the products and services through the Platform for personal use only.

2.2 The Platform is only intended to provide online shopping services to facilitate your purchase of the products and services, which enables you to access the product information and place your purchase orders with Al Futtaim Panatech, subject to the GTC (hereinafter defined).

2.3 Your rights to use or access the Platform are a limited, revocable, non-exclusive right for personal use of the Platform for the purpose of your online purchase. You are not authorized to: (i) modify any contents of the Platform; (ii) download, copy, duplicate or forward any contents unless it is necessary for your purchase; or (iii) utilize data mining, robots or similar data gathering and extraction tools. You must use the Platform for lawful purposes only as permitted under the Shopping Service Terms and must not use for fraudulent or other unlawful activity.

2.4 At your first log-in, a user account (“Account) must be created by you by registering necessary information with PMMAF. For the subsequent purchase(s), you may place an order from your Account after log-in with your credentials. You must ensure the accuracy of your Account and your orders before checkout and payment, including the products and/or services ordered and delivery information.

2.5 Any images or photographs of the products (including packaging) and services on the Platform are for illustration purpose only and actual impression of the products available for purchase may differ.

2.6 Any of the products and services on the Platform may be discontinued, and/or update or upgrade the model(s), the prices for the products and services, including promotions may be variable, without any prior notice.

2.7 The products and services are provided on the Platform on an “as is” basis, and we hereby expressly exclude all warranties, conditions or other terms, whether written or oral and expressed or implied, and exclude implied terms by statute(s) or common law to the extent permitted by law. PMMAF specifically disclaims the implied warranties of merchantability and fitness for a particular purpose of the products/services on the Platform.

3. Your order, delivery, payment, warranty, exchange/refund

By placing your purchase order via the Platform, you agree and accept “GENERAL TERMS AND CONDITIONS OF SALE ON PANASONIC UAE WEBSTORE” (“GTC”) as prescribed by Al Futtaim Panatech, based on which you will enter into a contract for sale of products/services with Al Futtaim. 4. General

4.1 The Shopping Service Terms are construed and governed by the laws of the United Arab Emirates.

4.2 The sales and purchase of the products/services through the Platform will be governed by and constructed in accordance with GTC separately from this Shopping Service Terms.

4.3 PMMAF shall not be liable due to any failure or delay in performance of its obligations under the Shopping Service Terms to the extent that the failure or delay arises as a result of causes beyond PMMAF’s reasonable control, including (but not limited to) any acts of God, fire, casualty, flood, war, strike, lockout, failure of public utilities, inability of banking systems, injunction, sanction, suspension of trade, governmental restrictions or any act, exercise, assertion or requirement of governmental authority, epidemic, pandemic, destruction of production facilities, riots, insurrection, terrorist activity, inability to procure or use materials, labour, equipment, transportation or energy, or any other cause beyond PMMAF’s reasonable control.
